1. Definitions

   • Exporters Network: Refers to “M/s. Tanoos Exporters Network Pvt. Ltd.” operating exclusively within India, hereinafter referred to as "Exporters Network".
   • Member: Refers to the individuals representing the companies or firms that has been accepted into and maintains membership with the Exporters Network and are registered as the users representing the member company.
   • Membership Fee: Refers to the periodic fee payable by the Member to the Exporters Network in exchange for the benefits and privileges of membership.
   • Code of Ethics: Refers to the set of ethical principles and guidelines that Members are expected to uphold in their interactions with other Members and the Exporters Network.
   • Referral: Refers to the act of a Member recommending the products or services of another Member to a potential customer or client, or sharing information of a prospective buyer in another country to another Member.
   • Non-Solicitation: Refers to the agreement between Members not to actively solicit or recruit other Members to join a competing organization or to engage in business activities that directly compete with the Exporters Network.
   • • Website: Refers to the https://exporters.network and https://exportersnetwork.com websites owned and operated by the Exporters Network.

2. Membership

   • Eligibility: Membership is open to companies, LLPs and firms registered in India, having products or services for export from India.
   • Application: Prospective Members must complete and submit a membership application online, providing accurate and complete information.
   • Acceptance: The Exporters Network reserves the right to accept or reject any membership application at its sole discretion.
   • Membership Fee: Members are required to pay the prescribed Membership Fee in a timely manner to maintain their membership.
   • Termination: The Exporters Network may terminate a Member's membership for non-payment of fees, violation of the Code of Ethics, or any other conduct deemed detrimental to the Exporters Network or its Members.
   • Chapter Membership: The members can start a new chapter or join an existing chapter of Exporters Network as per the eligibility of their membership type and subject to the terms and conditions mentioned in the Terms and Conditions of a Chapter.

3. Code of Ethics

   • Professional Conduct: Members shall conduct themselves in a professional and ethical manner in all interactions with other Members and the Exporters Network.
   • Referrals: Members shall make referrals in good faith, based on their genuine belief in the quality of the products or services, as well authenticity and credibility of the businesses or customers being recommended.
   • Non-Solicitation: Members shall not engage in any activities that directly compete with the Company or solicit other Members to join a competing organization.
   • Confidentiality: Members shall maintain the confidentiality of any sensitive or proprietary information shared within the Exporters Network.

4. Intellectual Property

   • Company Ownership: All intellectual property rights associated with the Exporters Network, including its name, logo, trade mark and any proprietary materials, belong exclusively to the Exporters Network.
   • Member Content: Members retain ownership of any content they create or share within the Exporters Network, subject to the Exporters Network’s right to use such content for promotional or educational purposes.
   • Website and Content: The Website and its original content, features, and functionality are owned by Exporters Network and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
   • • Member Company Logos: The logos of member companies displayed on the Website are the property of their respective owners. The display of these logos does not imply endorsement or sponsorship by the Exporters Network of any product or service.

5. Limitation of Liability

   • No Guarantees: The Exporters Network does not guarantee any specific level of business success or referrals for its Members.
   • Indemnification: Members agree to indemnify and hold the Exporters Network harmless from any claims, damages, or liabilities arising from their participation in the Exporters Network or their interactions with other Members.
   • Disclaimer of Warranties: The Website is hosted in a secure server and we check the condition of the server on a regular basis and the defects will be corrected as soon as we know about them within our limited capacity. However, the website is provided on an "as is" and "as available" basis without any warranties of any kind, express or implied. The Exporters Network does not warrant that the Website will be uninterrupted or error-free, or that the Website or the server that makes it available are free of viruses or other harmful components.
   • Limitation of Liability: In no event shall the Exporters Network be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with your use of the Website or any third-party websites or services linked to from the Website.

6. Governing Law

   • Indian Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of India.
   • Jurisdiction: Any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Bangalore, Kochi or Thiruvananthapuram, India.

   • Company's Right: The Exporters Network reserves the right to amend these Terms and Conditions at any time, with or without notice to its Members and you will be notified by email if the changes are significant.
   • Member's Responsibility: It is the Member's responsibility to review these Terms and Conditions periodically to stay informed of any changes.

8. Acceptance of Terms & Use of Website

   • Acceptance of Terms: By accessing and using the Website, you agree to be bound by these terms and conditions of use and the Privacy Policy. If you do not agree to these terms and conditions, please do not use the Website.
   • Use of Website: You agree to use the Website only for lawful purposes and in a manner consistent with all applicable laws and regulations. You further agree not to use the Website in any way that could damage, disable, overburden, or impair the Website or interfere with any other party's use and enjoyment of the Website.
