Terms and Conditions For formation of a chapter

  1. Purpose
    The purpose of this document is to outline the terms and conditions governing the formation and operation of a new chapter, hereinafter referred to as the 'Chapter', of M/s. Tanoos Exporters Network, hereinafter referred to as the 'Exporters Network'.
  2. Formation
    The formation of Chapter is subject to the acceptance of these terms and conditions by a minimum of eight (8) member companies who wish to establish the Chapter.
  3. Governance
    Chapter shall operate as a separate entity from Exporters Network but shall function in accordance with the bylaws, rules, and directives provided by Exporters Network. The executive committee of Chapter, hereinafter referred to as the 'EXCOM' shall be responsible for the day-to-day operations, decision-making, and management of the chapter. The EXCOM shall consist of members elected by the members of Chapter for the following leadership positions in accordance with its own bylaws and rules.
    • Chapter President
    • Secretary
    • Vice-President - Meetings
    • Vice-President - Business
    • Vice-President - Finance
    • Sergeant-at-arms
    • Immediate Past President
  4. Membership
    Membership in Chapter shall be open to all companies, LLPs and firms registered in India who are members of Exporters Network and wish to join the chapter and meet the eligibility criteria established by the chapter. If the new member company is directly or indirectly competing with any existing member companies, the membership will not be accepted if there is any objection raised by an existing member company of the Chapter to accept the new member in the Chapter.
  5. Minimum Membership Requirement
    Chapter agrees that a minimum of eight (8) member companies shall be maintained at all times for the chapter to function effectively. The Charter of a new Chapter will occur only when the membership reaches eight (8) or more.
  6. Compliance
    Chapter agrees to comply with all applicable laws, regulations, and requirements governing the operation of associations and non-profit organizations within its jurisdiction.
  7. Assets
    All assets owned or acquired by Chapter, including but not limited to funds, property, equipment, and intellectual property, shall be the sole property of Chapter. Exporters Network shall have no claim to or control over such assets.
  8. Liability
    Chapter shall be solely responsible for its own liabilities, debts, and obligations. Exporters Network shall not be liable for any acts, omissions, debts, or obligations of Chapter.
  9. Shared Responsibility for Operating Expenses
    The individual members representing the member companies of the Chapter, hereinafter referred to as 'Individual Members,' agree to share and contribute equally to the operating expenses incurred in the conduct of each meeting of the Chapter. Such operating expenses may include, but are not limited to, venue costs, refreshments, and other miscellaneous expenses necessary for the proper functioning of the Meeting. The allocation of these expenses shall be determined by the EXCOM on a per-meeting basis, and each Individual Member is obligated to make their respective contributions before the conclusion of each meeting.
  10. Termination
    In the event that Exporters Network determines, in its sole discretion, that Chapter has failed to comply with these terms and conditions or has engaged in conduct detrimental to the association, Exporters Network reserves the right to terminate the establishment of Chapter and revoke its charter.
  11. Amendments
    These terms and conditions may be amended by Exporters Network at any time upon written notice to Chapter by letter or email to the EXCOM. Amendments shall be effective immediately upon such notice.
  12. Governing Law
    These terms and conditions shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
  13. Acceptance
    By accepting these terms and conditions, each Individual Member agrees that they have read, understood, and agree to be bound by the terms and conditions outlined herein. Furthermore, each Individual Member agrees to abide by the bylaws and rules of Chapter once it is officially formed.
